The following terms and conditions, any price list or schedule, catalog, quotation, or invoice from Seller relevant to the sale of the Products and/or Services by Seller to Buyer. Buyer’s acceptance of the Product and/or Services will manifest Buyer’s assent to these terms and conditions. If Seller and Buyer have a written agreement in effect that covers the sale of the Product and/or Services, that agreement will govern the terms and conditions of sale exclusively. |

| Orders |
| |
All orders are subject to product availability and acceptance by Seller. All orders must have scheduled delivery dates. Any purchase order with a balance is unscheduled will be subject to Seller’s standard lead-time. |

| Prices |
| |
Prices in general are dependent on volume of the particular items purchased, terms of payment, and the credit worthiness of the Buyer, and are subject to change without prior notice. Price is subject to change without notice and does not include packing and freight. |

| |
| Delivery |
| |
All orders are F.O.B. shipping point, all shipping costs and insurance, as applicable, shall be added to the purchase price and shall be paid by the Buyer. Unless otherwise instructed by Buyer, Seller will exercise its own judgment in the method of shipment. |

| Reschedule
(standard products) |
| |
Standard products scheduled to ship within 60 days from original ship date on P.O. are non-cancelable. Products scheduled to ship within 30-60 days may be rescheduled. All standard products must be taken within 90 days of the original scheduled date. Once an originally scheduled date is rescheduled, it may not be rescheduled again. |

| Reschedule (modified or custom products) |

Modified or custom products built in accordance of customer’s written specifications scheduled to ship within 90 days from date of request are non-cancelable. Product scheduled to ship within 60-90 days from date of request may be rescheduled. All modified or custom products must be taken within 90 days of the scheduled date. Once an originally scheduled date is rescheduled, it may not be rescheduled again. Any uniquely purchased materials required to produce a modified or a custom product is the responsibility of the customers in the event of a cancellation. |

| Warranty policy & RMA |
| |
a. |
This does not extend to products which have been opened, altered or repaired by persons other than persons authorized by ARCH Electronics Corp. or to products which have become defective due to natural events, negligence or the failure of customer to fully follow instructions with respect to installation, application or maintenance. |

b. |
|

I. |
Products
found to be defective with 30 days from the date of receipt
can be returned for credit or exchange. After the initial
30 days, ARCH will repair the goods according to our
warranty period. Contact ARCH for further information
on credit or a RMA number. Goods should be shipped as “freight
prepaid” to ARCH and ARCH will repair and return
the defective units (freight prepaid) within 7 working
days. If the warranty period has expired, a repair charge
(20% of original purchase price or min. USD 5.00/pc) will
be charged. |

II. |
If custom
do the repair by themselves, ARCH can provide reasonable
quantity of free components for repair purpose |

c. |
Buyer should follow below procedure to return defective goods: |
|

I. |
Buyer must notify Seller in writing within the warranty period of any defect or nonconformance in the goods, by completing Seller’s Return Merchandise Application form (RMA). |
|
| |
II. |
Buyer must obtain authorized and an RMA number from Seller to return the defective goods |
|
| |
III. |
Buyer must pay for one-way shipping costs, additionally, acceptance of returned goods are subject to Seller’s examination of such goods, or verify that the defect or nonconformance or difficulty was not in any way caused the negligence, improper installation, misuse or unauthorized repair of the goods. Seller may refuse acceptance of returned goods that do not follow this procedure. |

| Attention |

We do best to ensure the exactness of information on the catalog. If there’s any discrepancy in the specification sheet & catalog, the former should be given precedence over all others. |

b. |
For continuous
product improvement, ARCH reserves the right to revise
any information on catalog & specification sheet without
any prior notice. |
|

c. |
The action to be strictly recommended that customers manage a sample test for evaluation and approval before placing formal order. |

| The EMC Directive Applies to Component Power Supplies |
| |
ARCH
ensure that all of the power supplies with CE declaration
are designed to meet EMC directives and are verified
by an independent certified lab agent with a test report
prepared. However, there are two categories for power
supplies: one is a stand-alone power supply, such as
laboratory power supply which can be tested under EMC
individually. The other category is a component power
supply such as an enclosed power supply and/or open
PCB power supply. These power supplies are considered
components which will be installed into final equipment.
Since EMC performance is affected by the final installation
of a product, ARCH cannot guarantee that the final
equipment will meet EMC directives. Final product manufacturers
must re-confirm that their product meet EMC directives. |
